FKN Rich®, FR™, and all related brand names, logos, trade dress, packaging, and product designs are the exclusive property of FKN Rich.

Nothing in these Terms grants you ownership of or rights to use FKN Rich trademarks, logos, or brand materials, except for the limited purpose of promoting and reselling genuine FKN Rich products purchased directly from us.

Unauthorized reproduction, modification, co-branding, white-labeling, or imitation of FKN Rich products, packaging, or marketing materials is strictly prohibited.

Any violation of FKN Rich intellectual property rights may result in immediate termination of your account and legal action.

All orders must be placed directly with FKN Rich or through an authorized FKN Rich sales channel.

Orders are subject to acceptance by FKN Rich. We reserve the right to reject, cancel, or limit orders at our sole discretion.

Minimum order quantities (MOQs) may apply.

Pricing and availability are subject to change without notice until an order is confirmed in writing.

Standard payment terms are [Net X Days / Prepaid / Credit Card / ACH / EFT] as specified in your invoice.

Late payments may incur interest charges at 1.25% per month (15% annually) or the maximum amount permitted by law.

FKN Rich reserves the right to suspend shipments or future orders until outstanding balances are paid in full.

Retailer is responsible for all taxes, duties, and fees applicable to the purchase, including sales tax, excise, HST/GST, or import/export duties unless otherwise agreed.

Title and risk of loss transfer to Retailer upon delivery to the carrier at FKN Rich’s shipping point, unless otherwise agreed.

Delivery times are estimates only. FKN Rich shall not be liable for delays caused by carriers, customs, strikes, natural events, or other factors beyond our reasonable control.

Retailer may only resell FKN Rich products in their original packaging and unaltered form.

Products may not be repackaged, relabeled, or marketed under another brand without prior written approval.

Retailer must comply with all applicable laws, including those relating to alcohol, energy products, and age-restricted sales.

Online resale (e.g., Amazon, eBay, third-party marketplaces) requires prior written authorization from FKN Rich.

Unless otherwise stated in a promotional guarantee, all sales are final.

Defective or damaged product claims must be reported in writing within 7 days of receipt.

FKN Rich reserves the right to offer Guaranteed Movement or Buy-Back Programs on select products; details will be provided in writing when applicable.

FKN Rich may provide approved marketing assets, images, and promotional materials. Retailer may only use these assets in accordance with FKN Rich brand guidelines.

Retailer shall not create misleading claims about FKN Rich products.

Any co-marketing, promotions, or private label programs must be pre-approved in writing.

Retailer agrees to maintain the confidentiality of FKN Rich’s pricing, programs, customer lists, and business strategies.

Disclosure to unauthorized third parties is strictly prohibited.

To the fullest extent permitted by law, FKN Rich shall not be liable for any indirect, incidental, or consequential damages (including lost profits or business opportunities) arising from Retailer’s resale of our products.

FKN Rich’s total liability in any case shall not exceed the purchase price of the specific products giving rise to the claim.

FKN Rich may suspend or terminate your wholesale account immediately if you:

• Fail to pay on time,

• Misuse the brand or trademarks,

• Violate applicable laws or these Terms,

• Engage in conduct that damages the reputation of FKN Rich.

Upon termination, all outstanding invoices become immediately due.

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law rules.

Any disputes shall be resolved through binding arbitration in Toronto, Ontario, under the rules of the ADR Institute of Canada.

Retailer waives any right to participate in class actions against FKN Rich.

These Terms, together with any signed agreements or invoices, constitute the entire agreement between the parties.

No waiver or modification is valid unless agreed in writing by FKN Rich.

If any provision is deemed invalid, the remaining provisions remain in full force and effect.
